NoxarQuant Terms of Service

1. Acceptance of Terms

By accessing or using NoxarQuant (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Service.

You must be at least 18 years of age to use this Service. By registering an account, you represent and warrant that you meet this age requirement.

2. Nature of the Service

NoxarQuant is a historical data visualization and statistical analysis tool only.

• We provide mathematical processing, clustering, scoring, and simulation of your uploaded trade data.
• NoxarQuant does NOT provide financial, investment, tax, or trading advice of any kind.
• Neither NoxarQuant, its founder, nor any team member is a registered investment adviser or authorised by the Financial Conduct Authority (FCA) to carry on any regulated activity.
• Any interaction with the Founder (including "Direct Founder Access" in the Elite tier) is strictly limited to technical support and platform optimization. It does not include trading advice, strategy recommendations, position sizing, or market commentary.

User Responsibility: All trading decisions are made solely by you. You acknowledge that trading involves a substantial risk of loss and that past performance, including any "Without NDCs" views, SWI scores, PRM scores, or Monte Carlo simulations, is not indicative of future results.

2.1 Regulated Activities

NoxarQuant provides historical and statistical descriptions of (a) the trading data you upload and (b) publicly available market data. It does not provide personal recommendations, trading signals, or advice on the merits of buying, selling, or holding any investment; it does not arrange or execute any transaction; and it does not manage any money or assets on your behalf.

The Service is therefore designed to fall outside the activities specified as regulated activities under the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001, in particular advising on investments (Article 53), arranging deals in investments (Article 25), and managing investments (Article 37). NoxarQuant is neither authorised nor exempt under the Financial Services and Markets Act 2000, and accordingly does not carry on any regulated activity within the meaning of section 19 of that Act.

Every output of the Service (including SWI and PRM scores, cluster classifications, "Without NDC" views, and Monte Carlo simulations) is a description of what your historical data has done. It is not a prediction, a recommendation, or an inducement to engage in investment activity. All trading decisions are made solely by you.

2.2 Marketing Communications

Our marketing describes the analytical functionality of the Service and is intended as information about the product. It is not an invitation or inducement to engage in investment activity within the meaning of section 21 of the Financial Services and Markets Act 2000.

3. Intellectual Property and Data

• Proprietary Technology: The Signal Weighted Index (SWI), Portfolio Risk Metric (PRM), Chrono Monte Carlo engine, and related algorithms are proprietary to NoxarQuant. You are granted a limited, non-exclusive, non-transferable license to use these for your personal analytical purposes only.
• Your Data: You retain ownership of your raw trade data. By uploading, you grant NoxarQuant a limited license to process, analyze, and anonymize it solely for providing the Service and improving our models.

4. Subscriptions and Billing

• Subscriptions are billed monthly in advance.
• Any free trial is for evaluation purposes only.
• You may cancel your subscription at any time via your account dashboard. No refunds are provided for partial months, as access to analysis tools and export features is granted immediately upon payment.

5. Limitation of Liability

To the maximum extent permitted by law, NoxarQuant, its founder, officers, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including trading losses, lost profits, or loss of data arising from your use of the Service.

Our total liability for any claim shall not exceed the total amount you paid to NoxarQuant in the three (3) months immediately preceding the claim.

6. Hypothetical Performance Disclosure (CFTC Rule 4.41)

HYPOTHETICAL PERFORMANCE RESULTS HAVE MANY INHERENT LIMITATIONS. NO REPRESENTATION IS BEING MADE THAT ANY ACCOUNT WILL OR IS LIKELY TO ACHIEVE PROFITS OR LOSSES SIMILAR TO THOSE SHOWN. IN FACT, THERE ARE FREQUENTLY SHARP DIFFERENCES BETWEEN HYPOTHETICAL PERFORMANCE RESULTS AND THE ACTUAL RESULTS SUBSEQUENTLY ACHIEVED BY ANY PARTICULAR TRADING PROGRAM.

7. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.
